CAC orders companies to update letterheads by August 1

The Corporate Affairs Commission (CAC) has directed all registered companies to update the information on their letterheads before August 1, warning that defaulters will face sanctions.

The Commission said it would begin full enforcement of the relevant provisions of the Companies and Allied Matters Act (CAMA) 2020 from the effective date.

The directive was contained in a public notice issued on Wednesday by the management of the Commission.

According to the CAC, the enforcement will cover Sections 304(1), 304(2) and 304(1)(c) of the Act, which prescribe the information companies are required to display on their business letterheads.

The Commission explained that every registered company must clearly state on its letterheads the present forename or initials and surname of each director.

Where applicable, it must also include any former forename and surname of a director, the nationality of every non-Nigerian director, as well as the company’s registered name and registration number.

“The Commission wishes to inform the general public, esteemed customers, and in particular, companies registered under the Companies and Allied Matters Act 2020, that commencing the 1st day of August 2026, the Commission shall enforce the full application of the requirements of Sections 304(1), 304(2) and 304(1)(c) of the Act with attendant sanctions for non-compliance,” the notice stated.

The CAC urged companies yet to comply with the statutory requirements to do so before the enforcement date to avoid penalties.

It said the move forms part of efforts to strengthen compliance with corporate regulations and promote greater transparency in business operations.

The Commission reaffirmed its commitment to improving corporate governance and maintaining a regulatory environment that supports accountability and public confidence.
